1. Acceptance of Terms

Welcome to ManagerMate. These Terms & Conditions govern your access to and use of our platform, including our website, mobile applications, and related services (collectively, the "Service"). By creating an account or using any part of our Service, you agree to these terms.

2. Description of Service

ManagerMate provides AI-powered management coaching and training tools designed to help managers develop their leadership skills, prepare for difficult conversations, and improve team performance. Our Service includes:

• Interactive training modules on emotional intelligence, HR essentials, and leadership development
• AI-powered conversation coaching through our virtual coach, Hilary
• Personalized learning plans and recommendations
• Practice scenarios and simulation tools
• Team performance insights and analytics

3. Eligibility

You must be at least 18 years old to use ManagerMate. By using our Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of ManagerMate, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

5. Subscription Plans and Pricing

Free Plan: Free access to core training modules including Emotional Intelligence training, HR essentials, and leadership development training.

Premium Plan: £5.99/month subscription includes all Free features plus advanced training content, bespoke learning plans, and access to Hilary, your personal conversation coach.

Business Plan: Custom pricing for organizations requiring advanced analytics, reporting, and insights into skills gaps and common queries across their management teams.

All subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Prices are subject to change with 30 days notice.

6. Payment Terms

• Payment is due immediately upon subscription purchase
• We accept major credit cards and other payment methods as indicated on our platform
• You authorize us to charge your payment method on a recurring basis according to your subscription plan
• Failed payments may result in suspension or termination of your subscription
• All fees are non-refundable except as required by law or as explicitly stated in these Terms

7. Cancellation and Refunds

14-Day Cooling-Off Period: Under the Consumer Contracts Regulations 2013, you have the right to cancel your subscription within 14 days of purchase for a full refund. However, by starting to use the Service immediately, you acknowledge that you may lose this cancellation right once you begin accessing digital content.

General Cancellation: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. You will continue to have access to Premium features until the end of your paid subscription period.

We do not provide refunds for partial months or unused portions of your subscription after the 14-day cooling-off period, except where required by applicable law or in cases of service failure on our part.

8. Acceptable Use

You agree not to use ManagerMate to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in any activity that disrupts or interferes with the Service
• Use the Service for any illegal, harmful, or abusive purposes
• Scrape, copy, or reproduce content from our platform without permission
• Reverse engineer or attempt to extract source code from our Service

9. Intellectual Property Rights

All content, features, and functionality of ManagerMate, including but not limited to text, graphics, logos, software, AI models, and training materials, are owned by ManagerMate or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:

• Reproduce, distribute, or create derivative works from our content
• Use our content for commercial purposes outside of your subscription
• Remove or modify any copyright or proprietary notices

10. User-Generated Content

When you use our Service, you may provide information, questions, or other content to our AI coach and platform. By doing so, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process this content for the purposes of:

• Providing and improving our Service
• Generating personalized recommendations and insights
• Developing and training our AI models
• Creating aggregated, anonymized analytics

We will not share your personal content with third parties except as described in our Privacy Policy.

11. AI-Generated Content Disclaimer

ManagerMate uses artificial intelligence to provide coaching and guidance. While we strive for accuracy and usefulness, you acknowledge that:

• AI-generated advice is not a substitute for professional coaching, legal advice, or HR consultation
• The Service provides general guidance and may not be suitable for all situations
• You are responsible for evaluating and applying any advice or recommendations
• We do not guarantee specific outcomes from using our Service
• AI-generated content may occasionally contain errors or inaccuracies

12. Limitation of Liability

To the fullest extent permitted by law, ManagerMate and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:

• Your use or inability to use the Service
• Any actions taken based on advice or content provided by the Service
• Unauthorized access to or alteration of your content
• Errors, interruptions, or disruptions in the Service

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any defects in the Service will be corrected

Your Statutory Rights: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. As a consumer, you have legal rights in relation to digital content that is faulty or not as described. Advice about your statutory rights is available from your local Citizens Advice Bureau or Trading Standards office.

14. Indemnification

You agree to indemnify, defend, and hold harmless ManagerMate and its founders, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit or share through the Service

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or engaged in conduct harmful to ManagerMate or other users.

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and content
• You remain liable for any outstanding fees or obligations

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on our platform. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
